Article 1 – Publisher and seller
This website and the Le Grimoire software are published by:
- Publisher: Yann Mennesson, sole trader (individual entrepreneur)
- Trading names: "Le Grimoire" (the software), "Karasumei" (publishing brand)

Article 2 – Purpose
These Terms of Sale govern the contractual relationship between Le Grimoire and any purchaser (hereinafter "the Customer") wishing to acquire a licence to use the Le Grimoire software, a subscription to the associated online service, or AI request packs.
Every order implies full and unreserved acceptance of these Terms of Sale.
Article 3 – Products and prices
3.1 Software licences

The licence is personal, non-assignable and non-transferable. It permits installation on machines belonging to the Customer.
3.2 AI service subscriptions (VPS)

The monthly Early Access subscription is a promotional price for a limited time (regular price: €14.90 / month). The subscription is strictly monthly: no annual subscription is offered. It gives access to the AI service: the requests are relayed by the seller's server (acting solely as a proxy) to a third-party AI provider, the seller not hosting the AI engine itself. Requests not used by the end of the period are not carried over.
3.3 AI request packs

The packs may be used with no time limit. They credit the request account of the hosted AI service and may be used on their own or in addition to a subscription.
Article 4 – Ordering and payment
Orders are placed through the le-grimoire.fr website. The sale to the end Customer and the collection of payment are carried out through the authorized reseller (Merchant of Record) Polar Software, Inc. (3500 South DuPont Highway, Dover, DE 19901, USA). As such, Polar acts as the official reseller: it appears as the seller on the invoice and is responsible for collecting, declaring, and remitting applicable taxes (VAT / sales tax). Card payment processing is handled as a sub-processor by Stripe, Inc. The Customer's banking details never pass through the publisher's servers at any point.
The accepted means of payment are those offered by Polar (bank card, and others subject to availability).
The order is confirmed once payment has been received. A confirmation email containing the activation key is sent to the address provided at the time of the order.
Article 5 – Delivery
As the products are intangible, delivery takes place electronically, immediately after payment has been validated. All products are delivered in the form of an activation key, sent by email and available in the customer area. Activation is performed by entering this key in the software:
- Licences: the key unlocks the software licence.
- Subscriptions: the key activates the AI request account.
- Request packs: the key credits the requests to the Customer's account.
Article 6 – Right of withdrawal
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to digital content supplied on an intangible medium where performance has begun with the consumer's prior agreement and where the consumer has expressly waived their right of withdrawal.
By validating their order and downloading or activating the software or the requests, the Customer expressly acknowledges that they waive their right of withdrawal.
No refund will be granted once the licence has been activated, the subscription taken out, or the requests credited.
Article 7 – Service availability
The seller undertakes to keep the VPS service available under the best possible conditions. However, the seller cannot be held liable for interruptions arising from maintenance operations, hosting failures, or events of force majeure.
In the event of a prolonged outage attributable to the seller (exceeding 72 consecutive hours), the Customer may receive compensation in requests equivalent to the duration of the interruption.
Article 8 – Intellectual property
The Le Grimoire software, its source code, its interfaces, its graphics and its content are the exclusive property of the publisher and are protected by French and international copyright and intellectual property laws.
The licence granted to the Customer is a personal, non-exclusive licence to use the software. It entails no transfer of ownership. Any reproduction, redistribution, decompilation or modification of the software is strictly prohibited.
Article 9 – Liability
The seller cannot be held liable for:
- Content generated by the AI at the Customer's request.
- The Customer's use of the software or of the content produced.
- Interruptions to, or changes in, third-party services (AI API providers).
- Any indirect damage, loss of data or loss of profit.
The seller's liability is in any event limited to the amount of the sums actually paid by the Customer for the order concerned.
Article 10 – Personal data
The seller collects only the data strictly necessary to manage the commercial relationship: name, email address, order history, and the generated licence key.
Payment data is processed exclusively by the reseller Polar Software, Inc. and its payment sub-processor Stripe, Inc.; it is never stored on the publisher's servers.
The Customer has a right to access, rectify and erase their data, which may be exercised by email at [email protected].

Article 11 – Governing law and disputes
These Terms of Sale are governed by French law. In the event of a dispute, the Customer shall first contact the seller with a view to an amicable resolution. Failing agreement, the competent French courts shall have jurisdiction; the consumer Customer always retains the right to bring the matter before the court of the place where they are domiciled.
In accordance with articles L612-1 et seq. of the French Consumer Code, the consumer Customer may use a consumer mediator free of charge to resolve any dispute amicably. The competent mediator is: [to be completed: mediator name] — [to be completed: mediator website].
Article 12 – Amendments to the Terms of Sale
The seller reserves the right to amend these Terms of Sale at any time. The applicable Terms of Sale are those in force on the date of the order. Subscribed customers will be informed by email of any substantial change with 30 days' notice.
